What the official source provides

Germany's public register ecosystem separates company identity, filed documents and published financial information across the Handelsregister and Unternehmensregister. Depending on the legal form and filing history, available evidence can include current and chronological extracts, document trees, shareholder lists, articles, changes and published accounts.

For a GmbH or UG, the filed Gesellschafterliste is often the primary public document for direct legal shareholders. It should not be confused with a calculated beneficial-owner conclusion or a complete economic cap table. A list records a filing at a particular point in time and must be read together with its date, entity identity and later filings.

Handelsregister API or MCP?

The German public-register landscape is not one uniform API product. Company identity, register extracts, submitted documents and published accounts can sit on different official paths. A third-party API may normalize selected fields, but that is not the same as retrieving and preserving the official evidence needed for a research conclusion.

The MCP route is useful when the task is larger than one lookup: for example, resolve a German longlist, retrieve the newest relevant Gesellschafterliste for each company and return every source reference, date and unresolved gap. This is an evidence-retrieval layer, not an automatic legal opinion. dossaro does not assert that a missing shareholder row proves that no shareholder exists, and it does not turn a document into a final UBO determination.

Agent workflow

  1. Search the company using its exact name, register court and HRB/HRA identifier when known.
  2. Resolve the correct entity and retain the returned entity reference.
  3. Request profile and document evidence for that entity.
  4. List documents before asking for document parsing.
  5. Prefer the latest relevant shareholder list, but retain earlier lists when the task concerns ownership changes.
  6. Record filing dates, document references and parse limitations.
  7. Let the calling agent compare documents and describe changes with appropriate caveats.

Coverage and limitations

  • Shareholder relationships require an explicit document workflow; they are not safely inferred from an empty relationship array.
  • A shareholder list represents direct legal holdings at the filing date, not necessarily current beneficial ownership.
  • Historical reconstruction requires comparing multiple documents and may contain gaps.
  • Some register paths, formats or documents can be blocked, paid or temporarily unavailable.
  • Parsed text and tables are evidence aids and require human or agent review against the original document.
