What the official source provides
Germany's public register ecosystem separates company identity, filed documents and published financial information across the Handelsregister and Unternehmensregister. Depending on the legal form and filing history, available evidence can include current and chronological extracts, document trees, shareholder lists, articles, changes and published accounts.
For a GmbH or UG, the filed Gesellschafterliste is often the primary public document for direct legal shareholders. It should not be confused with a calculated beneficial-owner conclusion or a complete economic cap table. A list records a filing at a particular point in time and must be read together with its date, entity identity and later filings.
The official Unternehmensregister register-information guide describes the available register extracts and submitted-document tree. For a broader ownership workflow, see how to find private-company owners.
What dossaro adds
dossaro exposes the German sources through the same MCP primitives used for other jurisdictions. An agent can:
- search for the correct legal entity and preserve its register reference;
- inspect company profile and officer evidence;
- list relevant register documents;
- retrieve or parse readable shareholder-list evidence where the source permits;
- keep source URLs, filing dates and document references attached to the research trail;
- return explicit source limitations instead of converting missing material into a negative ownership claim.
This is an evidence-retrieval layer, not an automatic legal opinion. dossaro does not assert that a missing shareholder row proves that no shareholder exists, and it does not turn a document into a final UBO determination.
Agent workflow
- Search the company using its exact name, register court and HRB/HRA identifier when known.
- Resolve the correct entity and retain the returned entity reference.
- Request profile and document evidence for that entity.
- List documents before asking for document parsing.
- Prefer the latest relevant shareholder list, but retain earlier lists when the task concerns ownership changes.
- Record filing dates, document references and parse limitations.
- Let the calling agent compare documents and describe changes with appropriate caveats.
For multi-company work, the agent can repeat the same primitive sequence across a longlist. The M&A target-screening workflow explains how this fits into a broader screening process.
Evidence and outputs
Useful outputs include:
| Output | Research use |
|---|---|
| Entity reference | Keeps subsequent calls tied to the selected register entity |
| Register identifiers | Distinguishes similarly named German companies |
| Document references | Preserves the source-native route to filed material |
| Shareholder-list text | Supports review of direct shareholders and filing history |
| Filing and publication dates | Establishes the point in time represented by the evidence |
| Limitations | Flags blocked, paid-only, unreadable or unavailable material |
When a workflow needs the underlying files rather than only profile fields, use the company-register documents capability.
Coverage and limitations
- Shareholder relationships require an explicit document workflow; they are not safely inferred from an empty relationship array.
- A shareholder list represents direct legal holdings at the filing date, not necessarily current beneficial ownership.
- Historical reconstruction requires comparing multiple documents and may contain gaps.
- Some register paths, formats or documents can be blocked, paid or temporarily unavailable.
- Parsed text and tables are evidence aids and require human or agent review against the original document.
- dossaro does not provide legal, tax, investment or official-register advice.
Run this exact task
Install dossaro, then continue the research
The setup guide lets a capable agent add the remote MCP, start OAuth with the user and return to this task.
Review the dossaro MCP setup guide at https://dossaro.com/agent-setup/prompt.md, configure dossaro when possible, complete OAuth with the user, then perform this task: Find the German register entity, retrieve the most relevant current and historical shareholder-list evidence, identify filing dates and source references, and separate unavailable or ambiguous evidence from confirmed records.Capability graph
